Chapter 13 - THE THINGS MY FATHER LET HER DO

The board audit lasted weeks.

I recovered slowly.

Ribs do not care about corporate revelations.

Every laugh hurt.

Every cough hurt.

Sleep hurt.

Dad sat outside my room some nights.

Not talking.

That helped.

Then the audit report.

Evelyn had not emptied Hale Meridian.

Not stolen everything.

Reality was messier.

She had made the company money.

A lot.

She also invested personally beside deals she managed.

Sometimes disclosed.

Sometimes not fully.

She used Hale Meridian relationships to access opportunities.

Dad tolerated it because returns were strong.

Over eighteen years:

Estimated personal gain linked to company transactions:

$27 million.

Potentially undisclosed portion:

$11 million.

The same number as the reserve transfer.

Not coincidence exactly.

She had built a private ecosystem around Hale Meridian.

Then my father’s responsibility.

He waived conflict reviews repeatedly.

“Evelyn understands this better than the board.”

“Evelyn has earned discretion.”

“Evelyn is family.”

His signatures.

Dozens.

No forgery.

Real.

Dad had given her room.

Then when she needed more, she started creating signatures.

The line moved gradually.

That frightened me.

People do not wake one morning and become monsters.

Sometimes they spend years learning nobody checks.

Then the board placed Dad under a governance agreement.

He stayed chairman.

But major related party transactions now required independent committee approval.

He hated it.

He signed anyway.

“Your mother would laugh.”

“She’d say she told you.”

“Yes.”

Then Mariner Trust.

My thirty one percent remained under Michael’s temporary voting control during recovery.

I asked to learn.

Not take over.

Learn.

Financial statements.

Properties.

Debt.

Board structure.

I had spent years refusing because I thought involvement meant becoming Dad.

Now I understood ignorance did not protect me.

It made me useful.

Then one afternoon Michael showed me a warehouse map.

Warehouse Three.

The old Bennett fee.

Warehouse Five.

My mother’s capital.

Warehouse Seven.

Something labeled:

MERCER OPTION.

“What is that?”

Evelyn had a purchase option.

Old.

Granted by Dad fifteen years ago.

If Hale Meridian ever lost a controlling shareholder or entered forced governance transition, Evelyn could buy up to eight percent of nonvoting equity at a discounted formula.

Why?

Retention incentive.

Dad wanted her to stay during crisis.

North Star activation qualified as governance transition.

My assault triggered the event that could let Evelyn buy eight percent cheaply.

Even from jail or while under investigation?

The option contained misconduct forfeiture.

If she was found to have committed fraud or serious breach, no.

But before final determination, status disputed.

That was another reason she wanted everything controlled before audit.

Then who advised Dad on the option?

Thomas Bennett.

Evan’s father.

He was more connected to Hale Meridian than I knew.

Thomas did not only build warehouses.

He sat on a contractor advisory council.

He and Evelyn knew each other well.

Then an old photograph.

Thomas Bennett.

Evelyn Mercer.

Victor.

Elena.

At Warehouse Three opening.

On back:

NORTH STAR DISCUSSION.

My mother’s agreement.

Thomas was present when it was discussed.

Why?

Maybe because his contingent fee touched Warehouse Three.

Then Dad remembered:

“Thomas warned Elena about Evelyn.”

I stared.

“What?”

“He said she was buying pieces of vendors behind our backs.”

Elena investigated.

Found some.

That led to the Mercer restriction.

So Evan’s father had helped my mother create the clause that could now destroy Evan’s inherited fee.

Families loop.

Then audit discovered Thomas Bennett kept a private records archive.

His estate executor:

Evan.

Where was it?

Evan’s office.

Search warrant retrieved.

One box labeled:

E.M.

Everyone assumed Evelyn Mercer.

Inside was something else.

E.M. meant:

Elena Memorandum.

My mother had written directly to Evan’s father.

Continue to the next part: Evan’s late father secretly kept a memorandum from Claire’s mother warning that someone inside Hale Meridian was manipulating both families long before Claire and Evan married.
