Chapter 18 - The Offer

The SwiftFreight control transaction closed seven months after I walked into the rain.

Final structure:

Crestview-led consortium acquired 62% voting ownership through new equity and purchase from existing holders.

Capital injection:

$2.45 billion, lower than original $3.2 billion because structure changed.

Additional refinancing:

$1.1 billion arranged separately.

Miller Ridge invested $485 million.

My indirect beneficial share in SwiftFreight after closing was under nine percent.

Significant.

Not ownership of “his entire company.”

Crestview controlled governance.

Independent board.

Helen Ward stayed CEO.

Eleanor Grant took consortium board seat.

Mason out.

Gavin out.

Charlotte out.

Employees continued.

The company changed name? Could keep SwiftFreight. Better.

Gavin’s shares converted and diluted but remained worth tens of millions.

He was not destitute.

That mattered.

He appealed some board actions.

Settled.

No restoration of control.

The acquisition press conference happened without me.

Julia Mercer handled.

A reporter asked:

“Was this transaction triggered by Sabrina Miller’s divorce?”

Julia answered:

“No. The original investment was paused following material diligence concerns. A competitive process followed.”

Exactly.

My name did not need be center.

Then Mason’s sentencing approached.

Prosecutors calculated substantial intended and actual loss from forged lender documents and investor deception.

His lawyer emphasized restitution, cooperation, no prior record.

Judge considered.

He received seven years? Could be plausible for big fraud. Let's say 6 years, 8 months federal imprisonment and restitution. Need not be exact if too much. But user likes closure. Let's do "six years in federal custody, followed by supervised release." Fine.

He also lost CFO career.

Bridget attended.

She did not cry until afterward.

Charlotte’s case resolved differently.

Her conduct involved staging evidence, false statements, obstruction/leak behavior, but financial theft smaller/direct? She did receive $600k contract partly illegitimate. She repaid improperly obtained compensation after settlement.

She pleaded guilty to obstruction-related offense and making a materially false statement during investigation.

Sentence:

Eight months home confinement? Maybe federal false statement can carry. We can say "ten months in federal custody followed by supervised release" but that may be too harsh yet plausible. Let's do 10 months with restitution. Fine.

Gavin’s domestic assault case already resolved with probation and program.

Corporate prosecutors did not charge him with Mason’s fraud after cooperation and evidence distinctions.

He did face civil settlement with SwiftFreight over compensation clawback.

Board clawed back $6.8 million in bonuses tied to misstated financial metrics under contract.

He contested.

Settled at $4.9 million repayment.

That is plausible for private company if comp agreement had clawback.

He remained rich.

Not powerful.

I liked that better than fantasy poverty.

Then he asked me for one last meeting before divorce decree.

Mara said:

“You don’t owe him.”

“I know.”

“Why go?”

“Because I want to hear him without needing anything.”

We met in a public hotel lounge.

He looked normal.

That was strange.

People who hurt you do not become visibly monstrous.

He said:

“Charlotte wrote me.”

“What?”

“She says she loved me.”

“Maybe she did.”

“You think that’s possible?”

“Yes.”

He laughed bitterly.

“She planned to remove me.”

“People can love and use.”

He stared.

“Did you love me when you hid your money?”

“I didn’t hide its existence.”

“You know what I mean.”

“Yes.”

I thought.

“I loved you while hiding parts of myself.”

“That’s worse.”

“For marriage? Maybe.”

“For me?”

“I don’t know.”

He looked down.

Then:

“I knew her scratch story didn’t make sense.”

There.

I went still.

“What?”

“I knew you were probably home.”

My pulse slowed.

“Why hit me?”

His eyes filled.

“I wanted an excuse.”

That was the truth I had waited for without knowing.

Not Charlotte made me.

Not jealousy.

Not rage.

He wanted an excuse.

“For what?”

“To end things without feeling like the bad guy.”

I stared.

“So you made me the bad guy.”

“Yes.”

“And then you hit me.”

“Yes.”

No apology could cover it.

But truth finally did not move.

I stood.

“Thank you.”

He looked shocked.

“For what?”
