Chapter 12 - THE PRICE OF CHANGING SIDES
Mercer Advisory Group looked successful from outside.
Luxury office.
Corporate clients.
Daniel’s photograph in business magazines.
Revenue:
Eight million dollars the previous year.
Profit:
Almost nothing.
Worse:
A failed acquisition left Daniel personally responsible for four point six million dollars in guarantees.
I never knew.
Our finances were largely separate because I had inherited assets.
Daniel always insisted independence mattered to him.
Now I understood another meaning.
He did not want me seeing his debt.
Four months before Dad died, when he warned Edward about Vivian, Mercer Advisory was struggling but not insolvent.
Three months before Dad died, its largest client terminated a contract.
Cash dropped.
Two lenders demanded collateral.
Daniel approached me once.
“Would you consider investing in Mercer?”
I said:
“Send me the financials.”
He never did.
Later he told friends I refused to help him.
That became part of his resentment.
In reality, I asked to see numbers.
He wanted trust.
Not diligence.
Vivian offered him something easier.
Two hundred fifty thousand consulting retainer.
Then another five hundred thousand line from her personal funds.
Not from Dad.
Her money.
Daniel’s company survived two more months.
In exchange, he advised her challenge strategy.

Money changed his position.

One week later:
If Claire waives, Forty Seven can be unified.
Then:
Do not tell Claire yet. She will read this as betrayal.
He knew exactly what it was.
Vivian answered:
Because it is?
Daniel:
Because she makes everything emotional.
He had named my correct reaction emotional so he could dismiss it before I ever had it.
Then another financial detail.
Daniel’s divorce from me improved his borrowing.
Why?
Our prenuptial agreement prohibited pledging marital residence or joint assets for his business debt without my consent.
After divorce, he would receive a cash equalization payment of eight hundred thousand dollars from division of jointly acquired property.
He could use it as D47 equity.
Our divorce funded part of the plan.
He had negotiated aggressively over that payment.
I thought he wanted closure.
He wanted capital.
Did Vivian promise more after marriage?
Yes.
Prenuptial agreement between Vivian and Daniel.
Signed yesterday.
Interesting.
He would receive:
No ownership of her marital trust principal.
No automatic control.
But if marriage lasted two years:
Five million dollar separate settlement.
If he served as “family governance adviser”:
Additional annual fee.
Vivian had been paying him to marry strategically.
Not buying husband.
But financial incentives were explicit.
She said:
“I was protecting him.”
I looked at her.
“From what?”
“Giving up his life for me.”
Daniel laughed bitterly.
“I did not give up anything.”
She turned.
“You told me you loved me.”
The church went silent.
There it was.
Finally.
Not just strategy.
They claimed love.
Daniel’s face changed.
“I do.”
She stared.
“Then why did you build D47 before we were together?”
He did not answer.
Vivian realized.
The company existed four months before Dad died.
When Daniel claimed he was still trying to protect Claire.
Before any admitted romantic relationship with Vivian.
He had built the financial vehicle first.
Maybe love came later.
Maybe opportunity did.
My mother’s face changed.
For the first time, she was not angry at me.
She was afraid of him.
“You planned this before me.”
Daniel snapped:
“No.”
“D47 existed.”
“As consulting structure.”
“You named it after Edward’s vault.”
“To solve the family problem.”
“I was the family problem?”
“No.”
“Claire was?”
He closed his eyes.
They were turning on each other.
I did not intervene.
Then Arthur produced the D47 operating agreement.
Contingent ownership after financing:
Daniel Mercer:
Sixty percent.
Vivian Family Holdings:
Twenty percent.
Management pool:
Ten.
Steven Cole related advisory vehicle:
Ten.
Vivian stared.
“I was supposed to have fifty.”
Daniel went pale.
“What?”
She looked at him.
“You told me fifty.”
Arthur turned the signed agreement.
Vivian had never signed this version.
Her earlier term sheet said:
Vivian forty percent.
Daniel forty.
Others twenty.
Final draft shifted.
Daniel had increased himself to sixty.
He planned to control D47.
The entity meant to “unify” Vale votes under family leadership would actually belong mostly to him.
Vivian whispered:
“You were stealing from me too.”
Daniel’s face hardened.
“I was taking execution risk.”
“Sixty percent?”
“I built the structure.”
“You built it with my money.”
“And my guarantees.”
“Using my expected inheritance.”
He answered:
“Which you misunderstood.”
Silence.
He knew she misunderstood.
He had signed Dad’s acknowledgment.
Yet he took her money anyway.
The betrayal was no longer Claire versus mother and ex husband.
It was everybody versus the version of truth Daniel sold separately.
Then Arthur said:
“There is still one document in the case.”
Daniel looked at him.
The one from the video prompt.
The document the attorney removed.
The signature that made Daniel pale.
We had already seen acknowledgment. But could have another bigger one. Fine.
Arthur unfolded it.

Signed:
Daniel Mercer.
And one other person.
Not Vivian.
Not Steven.
Elias Vale.
My stomach dropped.
Elias on video went still.
