Chapter 9 - The Board Without Flynn

The board meeting lasted six hours.

I did not attend.

That mattered.

Flynn’s employment was not mine to decide.

Vance Meridian Group had eleven directors.

Four independent.

Three family representatives.

Two employee-affiliated directors.

The CEO.

Flynn as executive chairman.

He could not vote on his own employment review.

The special committee presented findings.

Some were not crimes.

Bad judgment.

Undisclosed personal relationship with a consultant.

Weak expense controls.

Using executive staff for family matters.

Others were worse.

Knowingly approving invoices that disguised personal support.

Using corporate systems to prepare false trust records.

Failing to disclose a related-party conflict.

Attempting to obtain financing using a trust instrument the actual trustee had never approved.

Flynn’s defense:

Brooks Family Services provided real work.

True.

He intended to correct documentation later.

Possibly.

Family trust matters were outside the board’s business.

Not when corporate resources were used.

Then Northline.

He had not stolen from Vance Meridian directly to fund it.

But he had used company-paid consulting structures to support Selina and reduce his own personal expenses while overleveraged.

That financial pressure created motive.

The board voted.

Administrative termination for cause as executive chairman.

Not removal as shareholder.

Not expulsion from family.

His nine-percent stock remained his subject to existing shareholder restrictions and any lawful creditor claims.

The board appointed an independent chair.

Vance Meridian continued.

Stock did not collapse.

Employees did not lose jobs.

No cinematic empire burning.

Flynn lost a title.

The one he treated like identity.

Then the media.

The anonymous succession tip had already attracted reporters.

Once his termination became public through required disclosures to private shareholders and lenders, press attention intensified.

The board released a controlled statement:

An executive governance review involving undisclosed related-party transactions and family-trust documentation is ongoing.

No mention of adultery.

No baby details.

Selina’s identity still leaked within days.

Probably from someone outside official process.

I refused interviews.

Phoebe loved that.

“Nothing terrifies reporters like a client who follows advice.”

Then Flynn went on offense.

His attorneys filed a civil claim alleging I had breached fiduciary duty by recognizing Miles after suspending Flynn, because supposedly I was using recognition to strengthen my own litigation position.

The theory made no sense.

Miles was entitled if qualified.

The court dismissed the emergency request and allowed ordinary review.

Then DNA result and equal recognition became official.

Grace Eleanor Vance.

Miles Alexander Brooks.

Same descendant class.

No male preference.

No $20 million special trust.

Standard educational, health, and future distribution provisions under the Stewardship Trust.

Selina was furious.

Not because Miles received less than Grace.

Because Flynn had promised far more than either child was entitled to automatically.

“You told me twenty million.”

Her text to Flynn surfaced.

He replied:

You were supposed to wait.

“For what?” Phoebe asked when showing me.

Exactly.

Wait until he removed me?

Wait until emergency powers activated?

Wait until he obtained legitimate approval under pressure?

No completed answer.

Then Northline’s lenders acted.

Flynn missed a capital contribution.

His position was diluted.

He lost control of the investment.

Again, not punishment.

Contract.

His personal wealth fell significantly but remained substantial.

Then came the criminal referral.

Vance Meridian’s special committee and the corporate co-trustee turned evidence over to authorities because forged documents had crossed bank and medical systems.

The investigation expanded.

Identity misuse.

Attempted bank fraud.

False corporate records.

Wire transfers associated with unsupported invoices.

Possible healthcare privacy-related offenses depending who created and transmitted the forged release.

No charges yet.

Then Selina requested protection for Miles’s future distributions if she were indicted.

Phoebe answered:

“Trust distributions belong to the beneficiary under the instrument. Your legal problems do not become his.”

Again.

A child separate from parent.

Then Selina asked to speak with me.

I refused.

Not yet.

That night Grace slept against my chest.

She was nearly four months old.

I looked at her face.

Flynn had called Miles his real heir.

The irony was becoming obvious.

The trust did not need an heir.

Vance Meridian did not need one either.
