Chapter 10 - The Third Elena

Vale Remediation Partners was older than Elena Advisory.

Registered four years earlier.

Same Delaware agent.

Different bank.

Purpose:

Environmental consulting and land remediation.

Payments from Vanguard:

$9.4 million.

Work performed?

Some.

Invoices matched real subcontractors.

So unlike Elena Advisory, it was not merely a financial pass through.

It operated projects.

Who ran it?

General manager:

Thomas Keene.

A real environmental engineer.

He joined our meeting voluntarily.

“I thought Ms. Vale owned the company.”

“I do not.”

He looked horrified.

“Who hired you?”

“Henry Vale.”

Ivan’s father.

Four years ago?

Henry died five years ago.

Wait chronology. Need adjust: if company created four years earlier after Henry died impossible. Let's make Henry died three years ago. Earlier we said appraiser died three years. Henry can be alive then. We didn't specify Henry death date exactly, only "late husband". Could be three years ago. Let's say Henry died three years ago, company created four years ago. Good.

Henry created Vale Remediation one year before his death.

Why use my name?

Thomas Keene showed original ownership letter.

Beneficial owner:

ELENA VALE TRUST.

Not me personally.

Maybe Henry actually intended it as compensation.

Trust agreement?

Signed by Henry as manager.

Owen had never seen it.

Who was trustee?

Henry.

He created a private side trust naming me beneficiary.

Did I know?

No.

Why?

Letter to Cynthia.

I have corrected one thing badly enough already. Vale Remediation should accumulate value for Elena without changing Vanguard cap table.

Henry knew the original land deal had been unfair.

He tried to repair it privately.

Like Cynthia later.

Again.

Why not tell me?

Because admission exposed him.

Cowardice with accounting.

Then Cynthia said:

“I knew Henry created something.”

“But not name?”

“No.”

“Did you receive records after he died?”

“Some.”

Who became trustee after Henry?

Successor:

Daniel Mercer.

The corporate lawyer.

He had controlled Vale Remediation for three years.

Now we understood why Daniel was everywhere.

“How much is the company worth?”

Marcus estimated:

$14 million net assets.

If trust valid, beneficially mine.

I stared.

Money hidden as compensation again.

“Did Daniel know I was beneficiary?”

“Yes.”

“Why didn’t you tell me?”

His answer:

“Henry instructed disclosure only if you separated from Ivan or Vanguard sold.”

I laughed.

“So everyone planned for my divorce except me.”

Daniel looked ashamed.

Then:

“Did Vale Remediation receive legitimate work?”

“Yes.”

Rebecca confirmed.

Actual remediation.

Competitive pricing mostly.

So not pure theft from Vanguard.

It was a related party vendor hidden from board because beneficial owner was me.

Conflict.

But it had value.

Then one payment stood out.

$3.2 million from Vale Remediation to:

HOLLOWAY FAMILY TRUST.

Grant Holloway.

He went pale.

“That is not mine.”

Again.

Another name shell?

Yes.

Beneficial owner:

Henry Vale.

Not Grant.

Why call it Holloway?

Henry used Grant as nominal administrative reference.

Grant did not know.

Sloppy secrecy again.

Then the money from Holloway Family Trust went to buy:

Ashford Farm.

A 120 acre property outside the city.

Current market value:

$22 million.

Title owner:

HOLLOWAY FAMILY TRUST.

Beneficiary document:

ELENA VALE.

I stared.

I owned land I had never seen.

Why?

Henry’s letter:

Ashford is repayment for what we took from Elena at formation. Do not let Ivan pledge it.

My throat tightened.

Henry knew.

He tried to repay me before death.

Quietly.

Cowardly.

But real.

Then another line:

Cynthia will want to fold it back into Vanguard. Do not allow.

Cynthia looked away.

“You knew about Ashford?”

“Yes.”

“Did you try?”

“Yes.”

Why?

Harbor Point lender needed collateral.

She wanted to pledge Ashford.

Daniel blocked because Henry instructions.

That may be why Cynthia created her own Elena Advisory later.

She could not access Henry’s hidden restitution.

Then Ivan looked at his mother.

“You knew Dad cheated Elena and left her assets.”

“Yes.”

“And you still treated her like she owed us.”

Cynthia’s eyes hardened.

“Do not become moral because you burned her hand yesterday.”

Silence.

She was right.

Ivan did not get redemption by opposing her now.

Then Marcus showed one more Ashford document.

Option agreement.

Buyer:

VANGUARD DEVELOPMENT.

Purchase price:

$12.6 million.

The exact amount transferred to Red Cedar.

Different deal?

No.

Red Cedar held an assignment option to Ashford.

Somehow the Red Cedar wire connected to my hidden restitution property.

Cynthia had been trying to use Vanguard money to buy a property that already belonged beneficially to me.

From a shell her family controlled.

Double extraction.

Her face went white.

“I did not know Ashford was Elena’s.”

“Who told you Red Cedar controlled it?”

“Daniel.”

May you like

Every eye moved to Daniel Mercer.

Continue to the next part: Cynthia’s twelve point six million transfer was aimed at buying land that Henry secretly left for Elena, and Daniel Mercer is the person who told Cynthia the property belonged to Red Cedar.
