Chapter 12 - THE BOARD SAW THE SECOND PACKET

Three years earlier, Bennett Meridian changed transfer agents.
During transition, Richard’s Founder proxy authority needed confirmation.
Northbridge should have supplied it.
Instead, Halden Registry issued the continuity certificate.
Malcolm Bennett.
Signature.
Dead eighteen months.
Why did nobody notice?
The certificate stated:
Certified as continuing authority from original instrument.
The signature was reproduced as part of certification.
Not presented as newly signed, according to Halden.
Yet the date appeared beside signature in a way that implied current execution.
Ambiguous.
Sloppy.
Maybe intentionally convenient.
Then a third Halden certificate.
Two years ago.
Used for a voting instruction.
Again Malcolm.
Then the DNA authorization.
Three months ago.
Same format.
A pattern.
Halden Registry had been keeping Malcolm’s authority alive on paper after death.
Maybe as certified copies.
Maybe beyond what trust allowed.
Who requested all three?
Victor Hale.
He became more central.
Why?
Because Richard often asked him to handle Founder documents outside Northbridge.
Victor considered himself guardian of Malcolm’s original intent.
Northbridge considered him a former adviser with no current authority.
He had been operating between systems.
Then Victor said:
“Malcolm did not trust Northbridge entirely.”
Lydia looked furious.
“Where is that written?”
“A private instruction.”
“Show us.”
Victor produced nothing.
He claimed original remained with Halden.
Then the board saw the second packet.
It contained Vector guarantee.
Halcyon side agreements.
Bridge loan.
Founder vote certificates.
DNA suppression timeline.
The special committee extended Richard’s suspension and appointed interim CEO.
Not me.
Not Eleanor.
A longtime operations executive.
Good.
Then Halcyon withdrew its current offer pending review.
Richard’s bridge loan went into default negotiations.
He was not ruined overnight.
He owned assets.
Shares.
Vector.
But the polished inevitability around him cracked.
Then his attorney offered settlement in our personal case.
Protective order.
Temporary support.
Separate residence.
Confidential mediation.
No company conditions.
I agreed to discuss only through counsel.
Divorce filing followed.
I did not announce it publicly.
The livestream had already taken enough privacy.
Then Sophie’s original video revealed one final detail.
At the very end, after Richard froze when I raised the DNA report, he whispered:
“Where did you get the original?”
Not:
What is that?
Not:
That is false.
Where did you get the original?
He knew.
Then:
“You were supposed to receive the corrected one.”
Corrected.
The inconclusive retest.
He knew I had been intentionally sent a replacement narrative.
Then he lunged.
That audio mattered.
Then Victor Hale’s assistant turned over email archives.
One subject:
CLAIRE COPY.
Victor:
Make sure original report does not go to residence until retest complete.
Assistant:
Lab sends automatically.
Victor:
Then intercept through executive mail if possible.
Did they?
No.
I happened to receive it.
Then another email.
RICHARD:
If she sees original, store meeting is off.
Victor:
Then cancel the store meeting.
Richard:
No. I need her signature.
Victor had advised cancel.
Richard insisted.
Again.
No one forced him into that showroom.
No one forced his hand across my face.
Then Halden Registry finally agreed to produce original authority records.
Their archive contained a signature ledger.
Malcolm’s post death certificates had been generated under a standing registry code.
Code owner:
MB 17.
Who currently controlled MB 17?
Halden refused to answer without court order.
Then Northbridge found the same code inside a Founder vote packet from five years earlier.
Before Malcolm died.
